1. Who we are

RunProjex (the "Service") is operated by ProjexSaas Pty Ltd ("ProjexSaas", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms and form a contract with ProjexSaas Pty Ltd.

2. The Service

RunProjex is a software-as-a-service product for trade businesses to create measurements, quotes, work orders and invoices, and manage projects. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

3. Acceptable use

You must not misuse the Service. In particular you must not: (a) use it for any unlawful, fraudulent, or harmful purpose; (b) send spam or infringe anyone's intellectual property; (c) interfere with security, probe or scan our infrastructure, introduce malware, or attempt to bypass access controls; (d) scrape or copy the Service or its content; or (e) reverse engineer, resell or redistribute the Service or circumvent its technical limits. You are responsible for activity under your account and for keeping your credentials secure.

4. Intellectual property

ProjexSaas Pty Ltd retains all right, title and interest in the Service, including its software, design, documentation and branding. You retain ownership of the content you upload; you grant us a limited licence to host, process and display that content solely to provide the Service to you.

5. Service availability

We work hard to keep the Service available but do not guarantee that it will be uninterrupted, error-free, or that any defects will be corrected immediately. To the maximum extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are disclaimed.

6. Payments, billing and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Our own refund window is described in our Refund Policy.

7. Suspension and termination

We may suspend or terminate your access to the Service for: (a) material breach of these Terms; (b) non-payment; (c) suspected fraud or a security risk; or (d) repeated or serious violations of our acceptable use rules. You may cancel your subscription at any time via the customer portal; on termination you may export your data within a reasonable window before it is deleted.

8. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

9. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

10. Governing law

These Terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have non-exclusive jurisdiction over any disputes.
